INTERNSHIP AGREEMENT

This INTERNSHIP AGREEMENT (hereinafter referred to as “the Agreement”) is made on [INSERT DATE ON WHICH THE AGREEMENT COMES INTO FORCE] hereinafter referred as the “Effective Date”) between:

[INSERT NAME OF THE COMPANY], having registered office at [INSERT ADDRESS OF THE COMPANY] (hereinafter referred as the “Company”). which expression shall, unless repugnant to the context or meaning thereof, means and includes its legal representatives, executors, administrators and permitted assigns);

And

[INSERT NAME OF THE INDIVIDUAL] residing at [INSERT ADDRESS OF THE INDIVIDUAL] (hereinafter referred as the “Intern”). which expression shall, unless repugnant to the context or meaning thereof, means and includes its legal representatives, executors, administrators and permitted assigns);

The “Company” and the “Intern” shall be collectively referred as “Parties” and individually as “Party”.

WHEREAS

  1. The Company is engaged in [INSERT BRIEF DESCRIPTION OF COMPANY'S BUSINESS];
  2. The Company recognizes the value of providing hands-on learning experiences to individuals interested in [INSERT FIELD/AREA OF INTERNSHIP], and desires to offer an internship opportunity to the Intern;
  3. The Intern is [INSERT BRIEF DESCRIPTION OF INTERN’S BACKGROUND] and seeks to gain practical experience and insight into their chosen field;
  4. The parties wish to enter into a contract in writing.

NOW, THEREFORE IN CONSIDERATION OF THE MUTUAL PREMISES, THE PARTIES HERETO AGREE AS FOLLOWS:

  1. INTERNSHIP POSITION
    1. The Company agrees to provide the Intern with the opportunity to work as an intern in the capacity of [INSERT INTERNSHIP POSITION]. The Intern's responsibilities and duties will be outlined in a separate document, which will be provided to the Intern at the beginning of the internship.
  2. TERM
    1. The internship will commence on [INSERT START DATE OF THE INTERNSHIP] and continue until [INSERT END DATE OF THE INTERNSHIP]. The Parties acknowledge that the internship period may be subject to change, and any modifications to the duration will be communicated in writing.
  3. COMPENSATION
    1. The Intern shall receive a stipend of [INSERT AMOUNT] per [INSERT HOUR/WEEK/MONTH], payable in accordance with the Company’s regular payroll practices. This stipend is intended to partially offset living and commuting expenses and does not constitute a salary or wage unless otherwise required by applicable law.
    2. Unpaid Internship (if applicable): This internship is unpaid. The Intern acknowledges and agrees that they will not receive any monetary compensation for services rendered during the internship period. The internship is structured to provide educational benefit and professional development in accordance with applicable labor laws and internship guidelines.
    3. The Intern shall not be eligible for participation in any of the Company’s employee benefit plans, group insurance, paid time off, or retirement benefits, unless otherwise required by law.
  4. CONFIDENTIALITY
    1. During the course of the internship, the Intern may have access to confidential information belonging to the Company. The Intern agrees to maintain the confidentiality of all proprietary and sensitive information and not to disclose, reproduce, distribute, or use such information for any purpose other than in connection with the internship.
  5. INTELLECTUAL PROPERTY
    1. Any work product, ideas, inventions, or creations developed by the Intern during the internship that relate to the Company's business or arise out of the internship shall be the exclusive property of the Company. The Intern agrees to promptly disclose and assign any such work product or creations to the Company.
  6. TERMINATION
    1. The Company may terminate this Agreement at any time, with or without cause, by providing the Intern with [INSERT NOTICE PERIOD FOR TERMINATION] written notice. Notwithstanding the foregoing, the Company may terminate the Agreement immediately and without prior notice in the event of:
      1. Violation of Company policies or code of conduct;
      2. Misconduct, negligence, or dishonesty;
      3. Breach of any term of this Agreement; or
      4. Any act or omission that materially disrupts the operations or reputation of the Company.
    2. The Intern may terminate this Agreement at any time for any reason by providing the Company with [INSERT NOTICE PERIOD, e.g., five (5) BUSINESS DAYS] written notice.
    3. Upon termination, the Intern shall promptly return all Company property, including but not limited to laptops, access cards, documents, files, and confidential information, whether in physical or digital form.
  7. CODE OF CONDUCT
    1. The Intern agrees to abide by all Company policies, rules, and regulations during the course of the internship. This includes maintaining a professional demeanor, respecting colleagues, and adhering to workplace norms.
  8. INDEMNIFICATION
    1. The Intern agrees to indemnify and hold the Company harmless from any claims, liabilities, losses, or expenses arising out of or in connection with the Intern's actions or omissions during the internship.
  9. DISPUTE RESOLUTION
    1. In the event of any dispute, controversy, or claim arising out of or in connection with this Agreement, the Parties agree to first attempt to resolve the matter amicably through good faith negotiations. Either Party may notify the other in writing of the nature of the dispute and request a meeting to seek a resolution.
    2. If the dispute cannot be resolved within [INSERT THE NUMBER OF DAYS] business days of the notice, the Parties agree to attempt to resolve the dispute through confidential mediation, using a mutually agreed upon mediator. The costs of mediation shall be shared equally by the Parties, unless otherwise agreed.
    3. Nothing in this clause shall prevent either Party from seeking immediate injunctive or equitable relief from a court of competent jurisdiction in cases where such relief is necessary to prevent irreparable harm.
  10. GOVERNING LAW
    1. This Agreement shall be governed by and construed in accordance with the laws of [INSERT STATE/COUNTRY OF APPLICABLE LAWS].
  11. DECLARATION
    1. The parties hereby understand and expressly agree to the provisions laid down in the present agreement and in good faith, undertake that both parties shall follow the terms of this agreement in good conscience in order to secure better growth of both the Parties.

IN WITNESS WHEREOF, the parties, intending to be legally bound, have each executed this agreement as of the effective date.
